5. Payments & Invoicing

- Late payments may delay project delivery.
- Milestone payments are non-refundable once approved work is delivered.

6. Confidentiality
Novel IT Services agrees to maintain confidentiality regarding client business information, intellectual property, project documentation, and sensitive data shared during project execution.
Non-Disclosure Agreements (NDAs) can be executed upon request.
7. Limitation of Liability
Novel IT Services shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from the use of our services, software, or website.
Our total liability shall not exceed the amount paid by the client for the services giving rise to the claim.
8. Termination
Either party may terminate an engagement in accordance with the applicable project agreement.
- Outstanding invoices remain payable.
- Delivered work remains subject to ownership terms.
- Termination does not waive accrued obligations.
9. Third-Party Services
Projects may integrate third-party APIs, cloud services, software platforms, hosting providers, or external tools. Novel IT Services is not responsible for outages, pricing changes, or policies imposed by such providers.
10. Governing Law
These Terms and Conditions shall be governed by and interpreted under the laws of India.
